These Terms of Service (the “Terms”) are a binding contract between you and  USA Website Authority Bureau LLC. (“USAWAB,” “we”, “our” and “us”). By using the Service in any way, you agree to
and accept all of these Terms, and these Terms will remain in effect at all times while
you use the Service or any Content (defined below) obtained through the Service.

These Terms govern your access to the Service and use of all Content on USAWAB’s
websites, applications, products, and other properties and include the provisions in this
document.

These Terms include information about future changes to these Terms, automatic
renewals, limitations of liability, a class action waiver and resolution of disputes
by arbitration instead of in court.

ARBITRATION NOTICE AND CLASS ACTION WAIVER: UOU WAIVE YOUR RIGHT TO
PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

If you don’t agree with the new Terms, you are free to reject them; unfortunately, that means you will no longer be able to use the Service. If you use the Service in any way by accepting the offer you were sent by making a payment that means you agree to all of the terms and conditions.

You represent and warrant that you are of legal age to form a binding contract (or if not,
you’ve received your parent’s or guardian’s permission to use the Service and gotten
your parent or guardian to agree to these Terms on your behalf). 

If you’re agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization or entity’s behalf and bind
them to these Terms (in which case, the references to “you” and “your” in these Terms,
except for in this sentence, refer to that organization or entity).

Your use of the Service is subject to the following additional restrictions:
You represent, warrant, and agree that you will not contribute or submit any User
Submission (defined below) or other materials or otherwise use the Service or interact
with the Service 

You will not use, copy, reproduce, adapt, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purpose any Content not owned by you in a way that violates someone else’s (including USAWAB’s) rights.

Any other uses of Content require USAWABs prior written consent.
You understand that USAWAB owns the Service. You won’t modify, publish, transmit,
participate in the transfer or sale of, reproduce (except as expressly provided in this
Section), create derivative works based on, re-sell, sublicense, re-distribute, or
otherwise exploit any aspect of the Service.

You must agree to all terms and conditions and, if applicable, pay all required fees
which apply to your specific program. These Terms apply to all such programs unless
specifically stated otherwise in the applicable program terms.

The Service may contain content, data, links or connections to or from third-party
websites or services that are not owned or controlled by USAWAB (“Third-Party
Service(s)”).

Will USAWAB ever change the Service?

We reserve the right to charge for certain parts or all of the Service. Certain aspects or uses of the Service require you to pay fees, for current descriptions of these services and the applicable fees. You agree to pay all fees which apply to your use of the Service. USAWAB reserves the right to change any fees and pricing applicable to the Service at any time upon notice to you (which may be sent by email or posted on USAWAB’s website). Your use of the Service following such notification constitutes your
acceptance of any new or increased fees.  Also by you making a payment constitutes your acceptance of any new or increased fees.

USAWAB is also free to terminate (or suspend access to) your use of the Service or your account, for any reason in our discretion, including your breach of these Terms.
USAWAB has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms.

By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and terms regarding disputes between us.

Warranty Disclaimer.  Neither USAWAB nor its licensors or suppliers makes any representations or warranties concerning the Service accessed through the Service, and we will not be responsible or liable for the accuracy,

Make no representations or warranties regarding suggestions or recommendations of services or products offered or purchased through the Service. Products and services
purchased or offered (whether or not following such recommendations and suggestions)through the Service are provided “AS IS” and without any warranty of any kind from USAWAB or others.

THE SERVICE AND CONTENT ARE PROVIDED BY USAWAB (AND ITS LICENSORS AND
SUPPLIERS) ON AN “AS-IS” BASIS, WITHOUT WARRANTIES OF ANY KIND,
EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED
WARRANTIES OF MERCHANTABILITY, ACCURACY, AVAILABILITY, FITNESS FOR A
PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICE
WILL BE UNINTERRUPTED OR ERROR-FREE. SOME STATES DO NOT ALLOW
LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE
LIMITATIONS MAY NOT APPLY TO YOU.

Limitation of Liability. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW,
UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING,
WITHOUT LIMITATION, TORT, NEGLIGENCE, CONTRACT, STRICT LIABILITY, OR
OTHERWISE) SHALL USAWAB (OR ITS LICENSORS OR SUPPLIERS) BE LIABLE
TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL,
INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING
DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE,

ACCURACY OF RESULTS, COST OF PROCUREMENT OF SUBSTITUTE GOODS
OR SERVICES, OR COMPUTER FAILURE OR MALFUNCTION, OR (B) ANY
AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE GREATER OF (I) $100 OR (II)
THE AMOUNTS PAID BY YOU TO USAWAB IN CONNECTION WITH THE SERVICE
IN THE TWELVE (12) MONTH PERIOD PRECEDING THE APPLICABLE CLAIM, OR
(C) ANY MATTER BEYOND OUR REASONABLE CONTROL. SOME STATES DO NOT
ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE
LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.

Indemnity. You agree to indemnify and hold USAWAB, its affiliates, and its and their directors, officers, agents, employees, partners, and successors harmless from and against any and all claims, liabilities, penalties (including governmental fines), damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way relating to (a) your use of the Service (including any actions taken by a third-party using your account), or (b) your violation of these Terms.

Assignment. You may not assign, delegate or transfer these Terms or your rights or
obligations hereunder, or your Service account, in any way (by operation of law or
otherwise) without USAWAB’s prior written consent. We may transfer, assign, or
delegate these Terms and our rights and obligations without consent.

Notwithstanding the foregoing
YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND USAWAB ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION LEGAL CASE.

Safe Harbor Statement. Any statements made by USAWAB, oral or written, about new
Service features or functionality are intended to outline USAWAB’s general product
direction for information purposes only and are not a commitment to deliver any
material, applications, or functionality, and should not be relied upon. The development,
release, and timing of any features or functionality remains at USAWAB’s sole
discretion.

USAWAB subscription services, renewals, cancelations, and refunds.
Subscription refunds for USAWAB subscriptions will be considered if received by
our billing team within 7 days of the payment date submitted, provided that you submit
your request via email to accountspayable@usawab.com with the subject refund request and in
the body the date and amount you paid, payment method you used to pay, contact name,
contact email address, account number, and website address.

By making a payment to USAWAB through form of check or debit or credit card that you do accept these terms and conditions, privacy policy, and services stated here. That USAWAB may submit your website URL to information sites and directories as well as use their own  means of advertising and marketing you website url for potentially increasing your online presence and exposure.   This service can be completed at any time at USUSAWAB’s discretion during the 12 month subscription.  This subscription service is for 12 consecutive months so your online exposure could possibly increase and your  business may have the possibility to have more customers  by having the opportunity to find your services from this potential  increase to your online exposure.  Any past, current, and future performance is no guarantee of past, present, or future results.

All refunds are at the discretion of USAWAB.  If management after reviewing the information is verified and decides to issue a refund.  Please allow 5 to 10 business days for the refund to be issued if issued.

When you cancel a subscription from USAWAB and do not select another subscription
option, you cancel only future charges associated with your current subscription.
Cancellations are effective at the end of the current billing period, and as such USAWAB
does not offer prorated refunds for cancelled subscriptions. 

If after canceling we receive any future payments from you a new subscription service begins again for that year and you again agree to all the terms and conditions

USAWAB is also free to terminate (or suspend access to) your use of your subscription
or your account, for any reason in our discretion, including a breach of our terms of
service. USAWAB has the sole right to decide whether you are in violation of any of the
restrictions set forth in these Terms. 

You will not be entitled to a refund in these circumstances.  We reserve the right to issue refunds or credits at our sole discretion. If we issue a refund or credit, we are under no obligation to issue the same or similar refund in the future.  Which by accepting these terms and conditions and by any type of payment method you are agreeing to these terms and conditions.

By using or accessing the Service in any manner, you acknowledge that you accept
the practices and policies outlined in this Privacy Policy, and you hereby consent
that we will collect, use, and share your information in the following ways.

Remember that your use of the Service is at all times subject to our terms and services
which incorporates this Privacy Policy. Any terms we use in this Privacy Policy without
defining them have the definitions given to them in the Terms of Service.

This Privacy Policy covers how we treat Personal Data that we gather when you access or
use our Service. “Personal Data” means any information that identifies or relates to a
particular individual and also includes information referred to as “personally identifiable
information” or “personal information” under applicable data privacy laws, rules, or
regulations.

USAWAB may change this Privacy Policy from time to time. Laws, regulations, and industry
standards evolve, which may make those changes necessary, or we may make changes to
our Service or business. We will post the changes to this page and encourage you to review
our Privacy Policy to stay informed. If we make changes that materially alter our practices or
your privacy rights, we will do our best to alert you to changes by placing a notice on the
USAWAB website, by sending you an email, and/or by some other means. 

Please note that if you’ve opted not to receive legal notice emails from us (or you haven’t provided us with your email address), those legal notices will still govern your use of the Service, and you are
still responsible for reading and understanding them.
